TERMS AND CONDITIONS FOR BY REBECCA TAYLOR DESIGN SERVICES‍ ‍

1.0 Formation of Contract‍ ‍

1.1 These Terms and Conditions, together with the Estimate of Works ("Estimate") provided by By Rebecca Taylor Ltd, set out the entire agreement between By Rebecca Taylor Ltd, a company registered in England and Wales (Company Number 14031032), and the Client ("the Client"). These Terms and Conditions apply once a booking has been confirmed for the provision of design services ("the Services").

1.2 Before purchasing the Services, the Client should read these Terms and Conditions carefully. By proceeding with a booking and making payment, the Client confirms that they have read, understood and agreed to these Terms and Conditions.

2.0 By Rebecca Taylor Ltd Obligations‍ ‍

2.1 By Rebecca Taylor Ltd will use reasonable endeavours to provide the Client with an estimated project timescale as soon as reasonably practicable following confirmation of the booking. Any timescales provided are estimates only and cannot be guaranteed. By Rebecca Taylor Ltd shall not be held responsible for delays outside of its reasonable control.

2.2 By Rebecca Taylor Ltd does not, as standard, arrange or manage third-party companies, tradespeople or suppliers ("Third Party Suppliers") on the Client's behalf. This includes, but is not limited to, decorators, builders, electricians, plumbers, flooring installers, carpet fitters, curtain and blind manufacturers or installers. Where project coordination is required, this must be agreed separately with the Client.

2.3 Where goods or materials are supplied directly by By Rebecca Taylor Ltd, they will be supplied with reasonable care and skill and, where applicable, will be of satisfactory quality and fit for their intended purpose.

2.4 By Rebecca Taylor Ltd will exercise reasonable care and skill when sourcing products for Clients remotely, including, where appropriate, considering previous supplier experience, product specifications and available information. However, By Rebecca Taylor Ltd cannot accept liability for defects, faults or quality issues relating to products supplied by third-party retailers or manufacturers where reasonable care has been exercised during the sourcing process.

2.5 By Rebecca Taylor Ltd will use reasonable endeavours to source products that closely reflect the approved design concept and visualisations. Whilst every effort will be made to achieve the intended design aesthetic, exact products shown within renders cannot always be guaranteed due to supplier availability, product changes, discontinuations or limitations of the rendering software used to create the visualisations. By Rebecca Taylor Ltd will always endeavour to source suitable alternatives that achieve the same overall style and aesthetic.

3.0 Client Obligations‍ ‍

3.1 The Client is responsible for checking all products recommended by By Rebecca Taylor Ltd before purchasing, including (but not limited to) dimensions, specifications, style, finish, quality, pricing, availability and estimated delivery times. By Rebecca Taylor Ltd accepts no liability for items damaged during transit or for issues arising after purchase from third-party retailers.

3.2 Project Start Date means the agreed booking date on which By Rebecca Taylor Ltd commences work on the Client's mood boards. The Client must ensure that all requested information has been provided before this date. Failure to do so may result in the loss of the booked design slot and the non-refundable booking deposit.

3.3 By proceeding with the Services, the Client confirms they have reviewed and accepted the Estimate, these Terms and Conditions, and the scope of works agreed with By Rebecca Taylor Ltd.

3.4 The Client is responsible for ensuring that all products are installed in accordance with the manufacturer's instructions and, where appropriate, by suitably qualified professionals. This includes, but is not limited to, electrical works, plumbing, fitted furniture, mirrors and wall-mounted artwork. By Rebecca Taylor Ltd accepts no liability for damage, injury or loss resulting from incorrect installation.

3.5 The Client is responsible for obtaining any professional advice, permissions, approvals or consents required before undertaking building or renovation works, including (but not limited to) advice from builders, architects, structural engineers, local authorities or planning professionals.

3.6 The Client may use the designs solely for their own personal project and must not reproduce, distribute or use the designs for commercial purposes, business use or marketing without the prior written permission of By Rebecca Taylor Ltd. Any branding or copyright notices included on the designs must not be removed.

3.7 Amendments must be requested within 1 month of the Client receiving the draft or final designs. Where no communication is received within this period, the project will be deemed complete and closed, and no further amendments will be included.

3.8 Amendments are intended to refine the agreed design concept. Requests which substantially change the approved design direction, room layout or overall concept may be treated as a new design service and may incur an additional charge at the discretion of By Rebecca Taylor Ltd.

3.9 The Client is responsible for ensuring that all floorplans, dimensions and measurements supplied to By Rebecca Taylor Ltd are complete and accurate. Designs will be produced based on the information provided. The Client is responsible for checking that all proposed furniture, fixtures and fittings are suitable for their space before purchasing or installation. By Rebecca Taylor Ltd accepts no liability for errors arising from inaccurate or incomplete measurements supplied by the Client.

3.10 If the Client fails to respond to requests for information, approvals or amendments for a continuous period of 3 months, the project will be deemed inactive. Should the Client wish to continue after this period, a new booking deposit of £150 per room will be required to secure a new design slot. If the Client resumes the project within 3 months, By Rebecca Taylor Ltd will accommodate the project within its next available design slot at no additional charge.

4.0 Delivery of Goods and Services‍ ‍

4.1 By Rebecca Taylor Ltd shall not be held liable for any delays, overruns or failures in the supply of goods or services caused by Third Party Suppliers, tradespeople or subcontractors.

4.2 By Rebecca Taylor Ltd accepts no liability for delays in the manufacture, dispatch or delivery of products purchased from third-party retailers or suppliers.

4.3 Where the Client chooses to collect goods supplied by By Rebecca Taylor Ltd, the Client will be required to sign a collection note. Responsibility for the goods shall pass to the Client upon collection.

5.0 Third Party Suppliers‍ ‍

5.1 The Client will enter into a direct contractual relationship with any Third Party Suppliers and shall remain responsible for managing those relationships and for making any payments due directly to the relevant supplier.

5.2 Where requested and agreed in advance, By Rebecca Taylor Ltd may coordinate Third Party Suppliers on the Client's behalf as part of the Services. However, the Client shall remain solely responsible for the contractual relationship with, and any payments due to, those Third Party Suppliers.

5.3 By Rebecca Taylor Ltd accepts no responsibility for the contractual obligations, workmanship or performance of any Third Party Supplier.

6.0 Payment & Billing Terms‍ ‍

6.1 The charges for the Services are set out in the Estimate accompanying these Terms and Conditions or as otherwise amended or updated by By Rebecca Taylor Ltd and communicated to the Client.

6.2 Payments should be made by debit or credit card via www.byrebeccataylor.com or by bank transfer where this has been pre-agreed between By Rebecca Taylor Ltd and the Client. By making payment, including by bank transfer, the Client confirms they have read, understood and agreed to these Terms and Conditions.‍ ‍

6.3 Cheques are not accepted as a method of payment.

6.4 A non-refundable booking deposit of £150 per room is required to secure the Client's design slot. A booking is not confirmed until the booking deposit has been received.

6.5 Once the mood board(s) have been signed off by the Client, an invoice for the remaining balance (less the booking deposit already paid) will be issued. Payment is due within 7 days of the invoice date. The design phase will not commence until payment has been received.

6.6 If payment is not received within the required timeframe, By Rebecca Taylor Ltd reserves the right to postpone or reallocate the Client's design slot until payment has been received. Any revised project timescales will be subject to current availability.

7.0 Cancellation and Termination Policy‍ ‍

7.1 The Client has the right to cancel this Contract up to the end of the statutory cancellation period applicable under UK consumer law, subject to the provisions set out below.

7.2 The Client does not have the right to cancel the Contract once the supply of the Services has begun with the Client's express agreement before the expiry of the statutory cancellation period.

7.3 Any request to cancel the Contract must be made in writing by email to By Rebecca Taylor Ltd.

7.4 The non-refundable booking deposit shall remain non-refundable in the event of cancellation.

7.5 Following the expiry of the statutory cancellation period, the Client may terminate the Contract by giving written notice to By Rebecca Taylor Ltd. The Client shall remain liable for payment of any Services provided up to the date of termination.

7.6 A delay by either party in enforcing any provision of this Contract shall not be deemed to be a waiver of that provision or of any other rights under this Contract.

7.7 Termination of this Contract shall not affect any accrued rights, obligations or liabilities of either party, including the right of By Rebecca Taylor Ltd to recover any sums due.

8.0 Liability‍ ‍

8.1 By Rebecca Taylor Ltd shall not be liable for any loss, damage, costs, expenses or other claims arising from information, measurements, instructions or documentation supplied by the Client that are incomplete, inaccurate or incorrect.

8.2 By Rebecca Taylor Ltd shall not be liable for any indirect, consequential or unforeseeable loss, including (but not limited to) loss of profit or business opportunity.

8.3 Neither By Rebecca Taylor Ltd nor the Client shall be liable for any failure or delay in performing their obligations where such failure or delay arises from circumstances beyond their reasonable control, including (but not limited to) flood, fire, severe weather or other events outside their reasonable control.

8.4 To enable By Rebecca Taylor Ltd to investigate any concerns relating to the Services, the Client should notify By Rebecca Taylor Ltd in writing within 7 days of becoming aware of the issue.

8.5 Nothing in these Terms and Conditions excludes or limits any liability that cannot legally be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or affects the Client's statutory rights.

9.0 Data Protection‍ ‍

9.1 By Rebecca Taylor Ltd will only use the Client's personal information for the purposes of providing the Services, communicating in relation to the Services, or informing the Client of similar services, unless the Client has agreed otherwise.

9.2 The Client may request access to, correction of or deletion of their personal data by contacting By Rebecca Taylor Ltd at byrebeccataylor@gmail.com.

9.3 By Rebecca Taylor Ltd will take reasonable steps to ensure that personal data is stored securely and is only accessible by those who require access for the provision of the Services.

9.4 Client information will not be shared with other clients and will not be disclosed to third parties unless required for the provision of the Services, required by law, or with the Client's consent.

10.0 Copyright

10.1 All intellectual property rights in all designs, drawings, renders, visualisations, documents and other materials produced by By Rebecca Taylor Ltd shall remain the property of By Rebecca Taylor Ltd unless otherwise agreed in writing.

10.2 By Rebecca Taylor Ltd may use photographs, renders and completed project imagery for marketing and promotional purposes, provided the Client has given their prior consent.

10.3 The Client may use the designs and supporting materials solely in connection with their own project and may not reproduce, distribute, sell or use them for commercial purposes without the prior written permission of By Rebecca Taylor Ltd.

10.4 All visualisations and renders are artistic representations intended to communicate the overall design concept. Whilst every effort is made to produce accurate visualisations, the Client remains responsible for checking all dimensions, specifications and product suitability before purchasing or installation.

11.0 General

11.1 By Rebecca Taylor Ltd may assign or subcontract any part of the Services where reasonably required for operational purposes.

11.2 Nothing in these Terms and Conditions shall confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.

11.3 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Acceptance of these Terms and Conditions is confirmed when the Client makes payment for the booking, whether via the website or by bank transfer. By making payment, the Client confirms they have read, understood and agreed to these Terms and Conditions.

TERMS AND CONDITIONS FOR THE USE OF BY REBECCA TAYLOR SHOPPING LISTS

1.0 Formation of Contract

1.1 Before purchasing or downloading a shopping list, the purchaser should read these Terms and Conditions carefully. By purchasing or downloading the shopping list, the purchaser confirms they have read, understood and agreed to these Terms and Conditions.

2.0 By Rebecca Taylor Ltd Obligations

2.1 Personal information provided by purchasers will be kept confidential and handled in accordance with the Data Protection section of these Terms and Conditions.

2.2 Refunds will only be issued where technical issues prevent the shopping list from being successfully downloaded.

3.0 Consumer Obligations

3.1 Shopping lists are licensed for the purchaser's personal use only and must not be copied, shared, reproduced, resold or published without the prior written permission of By Rebecca Taylor Ltd.

3.2 The purchaser is responsible for checking all product dimensions, specifications, style, quality, pricing and suitability before purchasing. Any issues relating to products purchased must be resolved directly with the relevant retailer or supplier.

3.3 Shopping lists are intended to achieve a similar design style to the accompanying inspiration or renders and may not contain the exact products shown within any visualisations.
